Indemnity Obligations

If any claims arise due to your unlawful use of the Platform or violation of these terms, you agree to indemnify and hold harmless QBP Advisors LLP and its affiliates from any losses, damages, liabilities, judgments, fines, costs, or expenses (including legal fees).
We reserve the right, at our discretion and expense, to assume exclusive defense and control of any such claims, and you agree to cooperate reasonably in that defense.

Disputes

If a dispute cannot be resolved through informal discussion, it will be resolved through binding arbitration or a competent small claims court, on an individual basis and not as part of any class or representative action.

Where applicable, arbitration will be conducted by a neutral arbitrator, and both parties waive the right to a jury trial or participation in class actions. Arbitration procedures, fees, and processes will follow applicable arbitration rules and governing laws.

General Terms (Miscellaneous)

Entire Agreement

This Agreement constitutes the complete understanding between you and QBP Advisors LLP, replacing all prior agreements, communications, and understandings regarding the Platform.

Governing Law

This Agreement and any disputes arising from it shall be governed by applicable laws as specified in the governing jurisdiction clause.

Compliance with Global Trade Laws

You agree to use the Platform in compliance with all applicable laws and trade regulations. The Platform may not be exported, transferred, or used in jurisdictions subject to embargoes or comprehensive sanctions.

Government End Users of Software

If the Software is acquired by or on behalf of a government entity, usage rights are limited strictly to those defined within this Agreement.

Waiver

Failure by QBP Advisors LLP to enforce any provision of this Agreement does not constitute a waiver of its rights in other circumstances. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer this Agreement or your rights under it without prior written consent. QBP Advisors LLP may assign this Agreement at any time without notice.

Severability

If any provision of this Agreement is deemed unlawful or unenforceable, the remaining provisions shall continue in full force and effect.
